These terms mean, essentially, the same thing--i.e. a room in which engaging with media (be it movies, the internet, video games, etc) is the primary activity.
Home theatres (or media rooms) are often situated upstairs, or within a finished or optional finished basement. That said, sometimes a home theater will appear on the main living area right next to the kitchen, an especially handy layout choice if you foresee multiple popcorn trips occurring in your daily routine!
